ARTICLE I-- BY-LAWS

This document shall be known as the By-Laws of the Kansas Rehabilitation Association (hereinafter referred to as the Chapter), adopted pursuant to Article VI, Section 3, Subsection I of the Constitution of the Chapter.

ARTICLE II -- DEFINITIONS

For the purposes of these By-Laws, the definitions in Article III of the Chapter Constitution shall apply.

ARTICLE III -- MEMBERSHIP

SECTION 1. ELIGIBILITY

All members of the National Rehabilitation Association (hereinafter referred to as the Association) residing in the geographical boundaries of the Chapter as defined in Article III of the Chapter Constitution or who request to be members of the Chapter are eligible for Chapter membership.

SECTION 2. CLASSES OF MEMBERSHIP

The classes of membership of this chapter shall be the same as defined by the Association.

ARTICLE IV -- MEETING OF THE MEMBERSHIP

SECTION 1. MEMBERSHIP CONTROL

The members in Assembly shall be responsible for conducting the affairs of the Chapter. Each member shall have one vote. Members may delegate to the Board the authority and responsibility for administering the affairs of the Chapter excepted as noted in Article V, Section 1, Subsection E of the Chapter constitution.

SECTION 2. MEETING

Meetings shall be held as noted in Article IV, Section 3 and Article V, Section 3 of the Chapter Constitution. In addition, general membership meetings may also be called upon written request of twenty-five (25) or more Chapter members.

SECTION 3. AUTHORITY TO HOLD MEETINGS BY MAIL (OR PHONE)

When a majority of the Board determines that matters of business require the action of the membership at a time that a regular meeting is not deemed advisable or feasible, such meeting may be held by mail (or phone). The method of mail balloting shall be determined by the Board.

SECTION 4. NOTICE OF MEETINGS

Advance notice of general membership shall be given to members. The notice shall state the general nature of the meeting, its time and its place.

ARTICLE V -- KRA BOARD

SECTION 1. POWERS

In addition to the powers granted in Article VI, Section 3 of the Chapter Constitution, the Board has these additional specific powers:

a. a. To approve the appointments of committee chairpersons made by the President.

b. b. To approve all legislative policy and authorize the use of the name of the Chapter in promoting or opposing any legislation.

c. c. To authorize the use of the name of the Chapter and the use of its stationary in issuing any statement of public policy.

d. d. To designate the person or persons to countersign/sign all checks and drafts and other orders for the payment of money or to obligate the Chapter by signing of notes, orders, or promises to pay.

e. e. To maintain effective liaison with the Association.

f. f. To approve any materials submitted for publication in any Kansas Rehabilitation Association publication or to withhold approval of any materials that may be deemed contrary to the goals and objectives of the Kansas Rehabilitation Association. It is made known that the opinions expressed ,in publications are not necessarily the views of the Kansas Rehabilitation Association Board of Directors or its members. Materials published in conference programs, newsletters or circulars do not imply an endorsement of the products or services promoted.


SECTION 2. MEETINGS

The Board shall determine the frequency, time and place of its regular or special meetings. Advance notice of the meetings shall be given all Board members.

SECTION 3. QUORUM

The Board members present for the Board meeting shall constitute a quorum to conduct business of the Chapter Board.

SECTION 4. MEETINGS BY MAIL (OR PHONE)

Whenever any matter of business requiring Board action is presented to the President of the Chapter, and if a special meeting of the Board is not deemed advisable or feasible, a special meeting of the Board may be held by mail (or phone) setting forth the specific issue or proposal on which a decision is sought. Such a meeting shall be conducted under regulations of the Board, and the results thereof shall be deemed an official act of the Board.


ARTICLE VI - ELECTED OFFICERS

SECTION 1. DISABILITY OF ELECTED OFFICER

If, in the opinion of the Board, any elected officer becomes incapacitated to the point of being unable to perform the duties or to further serve the Chapter in an efficient manner, OR, in the event an elected officer, for any reason, fails to perform the duties or is unable to perform such duties in a satisfactory manner, the Board may, by a two-thirds (2/3) majority vote, declare the office to be vacant. The Board may, if it chooses, fill a vacancy so created on a temporary basis until the elected officer will again be able to resume the duties of the office.

ARTICLE VII - LOCAL CHAPTERS

SECTION 1. SUPERVISION OF LOCAL CHAPTERS

The Board of the Chapter may reject an application for Local Chapter status if it is not felt to be in the best interests of the Chapter. The reasons for this action shall be given in writing to the petitioners. The Board may withdraw Local Chapter status if the Local Chapter does not comply with the Association or Chapter Constitutions or By--Laws or otherwise engage in activities that the Chapter Board feels is not in the best interest of the Chapter or Association. Notification of this action shall also be given, in writing, to Local Chapter officers or members.

An applying group whose application has been rejected may submit another application at any time thereafter. A group that has been decertified can petition the Chapter Board for recertification. The petition must include evidence to indicate that the problems that caused the Chapter Board to take the action initially have been corrected.


SECTION 2. RECOMMENDATIONS TO BOARD

A Local Chapter may recommend delegates to the Association Delegate Assembly but such delegates shall be certified to the Association through the Chapter Board, as delegates representing the Chapter.

ARTICLE VIII - DIVISIONS

SECTION 1. SUPERVISION OF STATE DIVISIONS

The Chapter Board may reject an application for divisional status at the state level if it is not felt to be in the best interests of the Chapter. The reasons for this action shall be given in writing to the petitioners. The Board may withdraw divisional status if the state Division does not comply with the Association or Chapter Constitutions, By-Laws or otherwise engages in activities that the Chapter Board feels is not in the best interests of the Chapter or Association. Notification of the action shall also be given in writing to division officers or members.

An applying group whose application has been rejected may submit another application at any time thereafter. A group that has been decertified can petition the Chapter Board for recertification. ARTICLE IX -- AMENDMENTS

SECTION 1. METHOD OF AMENDING BY-LAWS

The By-Laws of the Chapter may be amended as follows:

a. a. An amendment may be proposed by any member of the Chapter and ratified by a majority of the Board present at the meeting, provided such amendment was presented to the Board for its consideration at least twenty (20) days prior to the date of ratification is considered.

b. b. An amendment may be proposed by any member of the Chapter and ratified by a three-fourths (3/4) majority of the Board present, regardless of the length of time the proposed amendment has been presented for consideration.


SECTION 2. CONFLICTING BY-LAWS

Any portion of the Chapter By-Laws in conflict with the Association Constitution or By-Laws shall be considered invalid and inoperative.

SECTION 3. REPEAL CLAUSE

All provisions of previous Chapter By-Laws are here by repealed.

ARTICLE X -- MISCELLANEOUS

SECTION 1. AFFILIATION

The Chapter shall comply with all rules and regulations, as well as the Constitution and By-Laws of the Association, as they pertain to the Chapter affiliation.
